Terms of Service

Last updated: June 23, 2026 — These terms are governed by the Information Technology Act, 2000, Indian Contract Act, 1872, Consumer Protection Act, 2019, and related Indian legislation.

Entity Information & Acceptance

These Terms of Service ("Terms") constitute a legally binding electronic contract between you ("User", "you") and Spendwisee ("we", "us", "our"), formed under the Information Technology Act, 2000 — Section 10A (validity of electronic contracts) and the Indian Contract Act, 1872.

By downloading, installing, or using Spendwisee ("the App"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must cease use of the App immediately.

These Terms are published in accordance with Rule 3(1) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Rule 4 of the Consumer Protection (E-Commerce) Rules, 2020.

Description of Service

Important: Spendwisee is not a bank, NBFC, payment system operator, or investment advisor. The App does not connect to bank accounts, process payments, transfer funds, or provide certified financial advice under the SEBI (Investment Advisers) Regulations, 2013 or any equivalent regulation.

Eligibility & Account Registration

Age Requirement

You must be at least 18 years of age to enter into this contract independently, as required by the Indian Contract Act, 1872 — Section 11 (competence to contract). Users between 13 and 17 years may use the App only with verifiable consent from a parent or lawful guardian, as required by DPDP Act Section 9.

Account Obligations

To use the Service, you must create an account using a valid email address or a supported identity provider (Google, Apple). You agree to:

Acceptable Use Policy

You shall use the App solely for its intended lawful purposes. You agree not to:

Violations may result in immediate account termination and may be reported to law enforcement authorities under applicable Indian law.

Your Data & Ownership

You retain full ownership of your data. All financial information you enter — expenses, budgets, savings goals, investments — belongs exclusively to you.

Your Rights

Limited License to Process

By using the App, you grant us a limited, non-exclusive, revocable licence to process your data solely for providing the Service — including cloud synchronisation, AI analysis, and report generation. This licence terminates immediately upon account deletion.

Data Protection

Your data is protected in accordance with the DPDP Act, 2023, IT Act Section 43A, and the IT (SPDI) Rules, 2011. We do not sell, rent, or share your data with advertisers or data brokers. Full details are in our Privacy Policy.

Subscriptions & Payments

In compliance with Rule 4(4) of the Consumer Protection (E-Commerce) Rules, 2020 and the Consumer Protection Act, 2019:

Free Tier

Core features are available at no cost, with the following usage limits: up to 5 Medha AI conversations per day. All other features — expense tracking, budgets, savings goals, investments, cloud sync, and PDF export — are fully available on the Free tier.

Free Trial

New users receive a 7-day free trial of Premium features upon account creation. The trial begins automatically and does not require payment information. At the end of the trial, you revert to the Free tier unless you subscribe.

Price Changes

Pricing may change with at least 30 days' prior notice. Changes do not apply to your current billing period.

Intellectual Property

All intellectual property rights in the App are protected under the Copyright Act, 1957 and Trade Marks Act, 1999 (India).

Disclaimers

Spendwisee is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory.

Investment Disclaimer

Investment data is sourced from publicly available feeds for informational purposes. Past performance does not guarantee future results. Spendwisee is not registered with SEBI as an investment advisor, research analyst, or portfolio manager.

To the fullest extent permitted by the Indian Contract Act, 1872, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by Indian law, including the Indian Contract Act, 1872 — Section 73 and the Consumer Protection Act, 2019:

Nothing in these Terms excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under mandatory law.

Indemnification

You agree to indemnify and hold harmless Spendwisee, its developers, officers, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

This obligation survives termination of your account and these Terms.

Termination

We may suspend or terminate your access without prior notice if you:

Effect of Termination

Upon termination: (a) your right to use the App ceases immediately; (b) we may delete your data after the retention period; (c) Sections 6, 10, 11, 12, 15, and 16 survive termination.

Force Majeure

Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including:

Dispute Resolution & Arbitration

Step 1 — Grievance Redressal

Submit your complaint to our Grievance Officer at feedback@spendwisee.com. We will acknowledge within 48 hours and endeavour to resolve within 30 days, as required by the IT (Intermediary Guidelines) Rules, 2021.

Step 2 — Mediation

If unresolved, both parties agree to attempt good-faith mediation before proceeding further.

Step 3 — Arbitration

Failing mediation, the dispute shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended):

Preserved Rights

Nothing prevents you from: (a) filing a complaint with the Data Protection Board of India; (b) approaching the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019; or (c) seeking urgent injunctive relief from a competent court.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The following statutes, among others, apply:

Subject to the arbitration clause above, the courts in India shall have exclusive jurisdiction, except where mandatory local law requires otherwise.

Consumer Protection & E-Commerce Compliance

In compliance with the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020:

You may file a complaint with the appropriate Consumer Disputes Redressal Commission (District, State, or National) under the Consumer Protection Act, 2019. This right is not affected by the arbitration clause.

Supplemental Terms for International Users

While these Terms are governed by Indian law, the following supplemental provisions apply based on your jurisdiction:

Where local laws provide greater consumer protection, those laws prevail to the extent of any inconsistency with these Terms.

General Provisions

Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to preserve its intent.

Waiver

No failure or delay in exercising any right shall operate as a waiver. A waiver on one occasion does not constitute a waiver on any subsequent occasion.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Spendwisee regarding the Service, superseding all prior agreements.

Assignment

You may not assign your rights under these Terms. We may assign ours to a successor entity in a merger or acquisition, provided they honour these Terms.

Language

These Terms are drafted in English. In any conflict between English and a translated version, the English version prevails.
