These Terms of Service ("Terms") constitute a legally binding electronic contract between you ("User", "you") and Spendwisee ("we", "us", "our"), formed under the Information Technology Act, 2000 — Section 10A (validity of electronic contracts) and the Indian Contract Act, 1872.

By downloading, installing, or using Spendwisee ("the App"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must cease use of the App immediately.
These Terms are published in accordance with Rule 3(1) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Rule 4 of the Consumer Protection (E-Commerce) Rules, 2020.
Definitions
- "App" — The Spendwisee mobile application available on Android and iOS, including all updates and versions
- "Service" — All features provided through the App — expense tracking, budgeting, investment tracking, AI assistant, cloud sync, and data export
- "User Data" — All information you enter into the App, including expenses, budgets, goals, investments, and preferences
- "Medha" — The AI-powered financial assistant integrated within the App
- "Premium Tier" — The paid subscription plan with enhanced features and higher usage limits
- "Platform" — Apple App Store or Google Play Store, as applicable
Description of Service
As required by Rule 4(1) of the Consumer Protection (E-Commerce) Rules, 2020:
Spendwisee is a personal finance management application that provides:
- Manual expense tracking with intelligent categorisation
- Budget creation, monitoring, and visual analytics
- Investment portfolio tracking with market data
- Savings goal management with progress tracking
- AI-powered financial assistant (Medha) for natural language expense input and insights
- Cross-device cloud synchronisation with offline-first architecture
- Data export as formatted PDF reports
- Multi-currency support and home screen widget (Android)
Eligibility & Account Registration
Age Requirement
You must be at least 18 years of age to enter into this contract independently, as required by the Indian Contract Act, 1872 — Section 11 (competence to contract). Users between 13 and 17 years may use the App only with verifiable consent from a parent or lawful guardian, as required by DPDP Act Section 9.
Account Obligations
To use the Service, you must create an account using a valid email address or a supported identity provider (Google, Apple). You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
- Notify us immediately at feedback@spendwisee.com of any unauthorised access
- Accept sole responsibility for all activities under your account
- Not transfer, sell, or assign your account to another person
Acceptable Use Policy
You shall use the App solely for its intended lawful purposes. You agree not to:
- Use the App for any illegal, fraudulent, or harmful purpose, including money laundering or tax evasion
- Reverse engineer, decompile, or disassemble the App, except as permitted by the Copyright Act, 1957
- Interfere with or impose unreasonable burden on the App's infrastructure
- Circumvent security features, rate limits, or access controls
- Transmit malware, spam, or abusive content through any feature including Medha AI
- Create multiple accounts to abuse free tier limits or circumvent enforcement
- Use automated means (bots, scrapers) to collect data from the App
- Impersonate any person or entity, or misrepresent your affiliation
Violations may result in immediate account termination and may be reported to law enforcement authorities under applicable Indian law.
Your Data & Ownership
You retain full ownership of your data. All financial information you enter — expenses, budgets, savings goals, investments — belongs exclusively to you.
Your Rights
- Export your data at any time as a PDF report
- Edit or delete any individual entry at any time
- Delete your account and all associated data permanently
- Exercise your Data Principal rights under the DPDP Act (Sections 11–14)
Limited License to Process
By using the App, you grant us a limited, non-exclusive, revocable licence to process your data solely for providing the Service — including cloud synchronisation, AI analysis, and report generation. This licence terminates immediately upon account deletion.
Data Protection
Your data is protected in accordance with the DPDP Act, 2023, IT Act Section 43A, and the IT (SPDI) Rules, 2011. We do not sell, rent, or share your data with advertisers or data brokers. Full details are in our Privacy Policy.
Medha AI Assistant
Medha is an AI-powered assistant that helps manage your expenses and provides financial insights. By using Medha, you acknowledge:
Nature of AI Outputs
- Medha provides general suggestions only — not professional financial, investment, tax, or legal advice
- AI responses may occasionally be inaccurate or incomplete
- You must not rely solely on Medha for financial decisions of material consequence
- AI outputs do not constitute a recommendation to buy, sell, or hold any financial instrument
Data Handling
- Conversations are processed in real time and not retained after the session
- Your data is never used to train AI models
- All inputs are validated and sanitised; Medha is subject to rate limits and fair usage policies
For certified financial advice, consult a qualified professional such as a SEBI-registered investment advisor, chartered accountant, or certified financial planner.
Subscriptions & Payments
In compliance with Rule 4(4) of the Consumer Protection (E-Commerce) Rules, 2020 and the Consumer Protection Act, 2019:
Free Tier
Core features are available at no cost, with the following usage limits: up to 5 Medha AI conversations per day. All other features — expense tracking, budgets, savings goals, investments, cloud sync, and PDF export — are fully available on the Free tier.
Free Trial
New users receive a 7-day free trial of Premium features upon account creation. The trial begins automatically and does not require payment information. At the end of the trial, you revert to the Free tier unless you subscribe.
Premium Tier
- Billed monthly (₹79/month) or annually (₹799/year) through the applicable Platform (App Store / Play Store)
- Prices displayed in your local currency, inclusive of applicable taxes (GST / VAT). Pricing may vary by region as determined by the Platform
- Payment charged to your Platform account upon confirmation
- Auto-renews unless cancelled at least 24 hours before the billing period ends
- Manage or cancel anytime through your device's subscription settings
Cancellation & Refunds
- Cancellation takes effect at the end of the current billing period
- Refunds are handled by Apple or Google per their respective policies
- Under Consumer Protection Act, 2019 — Section 2(9), digital services commenced with informed consumer consent are exempt from the cooling-off return period
Price Changes
Pricing may change with at least 30 days' prior notice. Changes do not apply to your current billing period.
Intellectual Property
All intellectual property rights in the App are protected under the Copyright Act, 1957 and Trade Marks Act, 1999 (India).
- The Spendwisee name, logo, design, UI, and source code are our exclusive property
- "Medha" is a proprietary feature name
- You receive a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes
- You may not reproduce, distribute, modify, or commercially exploit any part of the App without written consent
- Third-party trademarks belong to their respective owners
Disclaimers
Spendwisee is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory.
- We do not guarantee uninterrupted, timely, or error-free service
- We do not guarantee the accuracy of AI-generated insights
- Market data and investment values are for informational purposes and may be delayed or inaccurate
- We are not responsible for financial decisions based on information in the App
Investment Disclaimer
Investment data is sourced from publicly available feeds for informational purposes. Past performance does not guarantee future results. Spendwisee is not registered with SEBI as an investment advisor, research analyst, or portfolio manager.
To the fullest extent permitted by the Indian Contract Act, 1872, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by Indian law, including the Indian Contract Act, 1872 — Section 73 and the Consumer Protection Act, 2019:
- Spendwisee shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- This includes: loss of data, loss of profits, financial losses from decisions made using the App, service interruptions, or unauthorised access caused by your negligence
- Our total aggregate liability shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) INR 5,000
Nothing in these Terms excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under mandatory law.
Indemnification
You agree to indemnify and hold harmless Spendwisee, its developers, officers, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the App
- Your violation of these Terms or any applicable law
- Your violation of any third-party rights
- Content you submit through the App, including via Medha AI
- Your negligence or willful misconduct
This obligation survives termination of your account and these Terms.
Termination
By You
- Delete your account at any time from the App (Menu → Delete Account)
- All data permanently erased within 30 days per our Privacy Policy
- Active subscriptions must be cancelled separately through your Platform settings
By Us
We may suspend or terminate your access without prior notice if you:
- Violate these Terms or the Acceptable Use Policy
- Engage in abusive, fraudulent, or illegal behaviour
- Attempt to compromise the App's security
- Provide false information during registration
Effect of Termination
Upon termination: (a) your right to use the App ceases immediately; (b) we may delete your data after the retention period; (c) Sections 6, 10, 11, 12, 15, and 16 survive termination.
Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including:
- Natural disasters, epidemics, pandemics, acts of God
- War, terrorism, civil unrest, government actions, or sanctions
- Power outages, internet or telecommunications failures
- Cyber attacks or systemic infrastructure failures
- Changes in applicable law that materially affect service delivery
- Third-party platform outages (App Store, Play Store, cloud providers)
We will use reasonable efforts to resume service and notify affected users of any material disruption.
Dispute Resolution & Arbitration
Step 1 — Grievance Redressal
Submit your complaint to our Grievance Officer at feedback@spendwisee.com. We will acknowledge within 48 hours and endeavour to resolve within 30 days, as required by the IT (Intermediary Guidelines) Rules, 2021.
Step 2 — Mediation
If unresolved, both parties agree to attempt good-faith mediation before proceeding further.
Step 3 — Arbitration
Failing mediation, the dispute shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended):
- Conducted by a sole arbitrator mutually appointed by both parties
- Seat of arbitration: India
- Language: English
- The award shall be final and binding
Preserved Rights
Nothing prevents you from: (a) filing a complaint with the Data Protection Board of India; (b) approaching the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019; or (c) seeking urgent injunctive relief from a competent court.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. The following statutes, among others, apply:
- Indian Contract Act, 1872 — Formation and enforceability of this agreement
- Information Technology Act, 2000 — Electronic contracts (§10A), intermediary obligations (§79), data protection (§43A)
- IT (Intermediary Guidelines) Rules, 2021 — Due diligence and grievance redressal
- Digital Personal Data Protection Act, 2023 — Data processing, consent, and Data Principal rights
- Consumer Protection Act, 2019 — Consumer rights, unfair trade practices, product liability
- Consumer Protection (E-Commerce) Rules, 2020 — Disclosure and pricing transparency
- Copyright Act, 1957 & Trade Marks Act, 1999 — Intellectual property
- Arbitration and Conciliation Act, 1996 — Dispute resolution
Subject to the arbitration clause above, the courts in India shall have exclusive jurisdiction, except where mandatory local law requires otherwise.
Consumer Protection & E-Commerce Compliance
In compliance with the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020:
- We do not engage in unfair or deceptive trade practices (Section 2(47))
- All service descriptions are accurate and not misleading
- We do not use dark patterns to manipulate user decisions
- No hidden charges — all pricing is disclosed before purchase

You may file a complaint with the appropriate Consumer Disputes Redressal Commission (District, State, or National) under the Consumer Protection Act, 2019. This right is not affected by the arbitration clause.
Third-Party Services
- Market data is sourced from third-party providers for informational purposes; we make no warranties regarding its accuracy
- We are not responsible for the content or practices of third-party services
- Subscription billing is managed by Apple App Store or Google Play Store — their terms apply to those transactions
- Use of third-party services is at your own risk
Supplemental Terms for International Users
While these Terms are governed by Indian law, the following supplemental provisions apply based on your jurisdiction:
🇪🇺 European Union / EEA
- Mandatory consumer protection laws of your country of residence apply where they provide greater protection
- You retain the right to bring proceedings before the courts of your EU member state
- Your data protection rights under the GDPR are detailed in our Privacy Policy — Section 16
- Cross-border data transfers are protected by Standard Contractual Clauses (SCCs)
🇺🇸 California
- Your rights under CCPA/CPRA are not diminished by these Terms
- We do not sell or share your personal information
- California Civil Code Section 1789.3 entitles you to contact the Complaint Assistance Unit of the Division of Consumer Services
🌍 Other Jurisdictions
Where local laws provide greater consumer protection, those laws prevail to the extent of any inconsistency with these Terms.
General Provisions
Severability
If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to preserve its intent.
Waiver
No failure or delay in exercising any right shall operate as a waiver. A waiver on one occasion does not constitute a waiver on any subsequent occasion.
Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Spendwisee regarding the Service, superseding all prior agreements.
Assignment
You may not assign your rights under these Terms. We may assign ours to a successor entity in a merger or acquisition, provided they honour these Terms.
Language
These Terms are drafted in English. In any conflict between English and a translated version, the English version prevails.
Changes to These Terms
- The "Last updated" date will be revised when changes are made
- Material changes communicated via in-app notification or email at least 30 days before taking effect
- Where required by law, we will obtain fresh consent
- Continued use after the effective date constitutes acceptance
- If you disagree, you must discontinue use and delete your account
